1. Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of the PharmaShowRoom platform ("Platform"), operated by PharmaShowRoom ("we", "our", "us"). By creating an account or using any feature of the Platform, you agree to be legally bound by these Terms. If you do not agree, do not use the Platform.
2. Eligibility
To use PharmaShowRoom, you must:
- Be at least 18 years of age
- Be a registered business entity or licensed healthcare professional operating in Nigeria or another African country
- Have the legal authority to bind your organisation to these Terms
- Not have previously been suspended or banned from the Platform
Individual members of the general public may browse public product and company pages without registration. Procurement, enquiries, and professional directory features require a registered account.
3. User Accounts
- You are responsible for maintaining the confidentiality of your login credentials.
- You must provide accurate and current information during registration and keep it up to date.
- You may not share your account or allow others to use it on your behalf without our consent.
- You are fully responsible for all activities that occur under your account.
- Notify us immediately at support@pharmashowroom.com if you suspect unauthorised access.
4. Company & Product Listings
Pharmaceutical companies and distributors listing on PharmaShowRoom must comply with the following rules:
- Accuracy: All company and product information must be accurate, complete, and not misleading.
- NAFDAC registration: All drug products listed must have a valid NAFDAC registration number. Listing products without NAFDAC approval is strictly prohibited.
- No counterfeit or substandard products: Listing, promoting, or facilitating the sale of counterfeit, adulterated, or unregistered medicines is a serious breach of these Terms and may be reported to NAFDAC and other relevant authorities.
- Product images: Images must accurately represent the listed product. No stock images of generic or unrelated products are allowed for regulated medicines.
- Admin review: All company profiles and product listings are subject to admin review before going live. Approval does not constitute an endorsement of the products.
- Regulatory compliance: Companies are solely responsible for ensuring their products comply with all applicable Nigerian and African regulatory requirements.
5. Procurement & Enquiries
- Pharmacies and healthcare buyers may send general enquiries and quotation requests to listed companies through the Platform.
- Companies must respond to enquiries honestly and within a reasonable time. Misleading quotations or false availability claims are prohibited.
- Prices listed or quoted through the Platform are not binding until confirmed in writing by both parties.
- PharmaShowRoom is a marketplace facilitator and is not a party to any procurement transaction. We do not guarantee the quality, legality, or delivery of any products.
- Any escrow-based payments (where enabled) are subject to the escrow terms communicated at the point of payment.
6. Subscriptions & Payments
Subscription Plans
- Basic – ₦100,000/year: Company profile + up to 20 product uploads
- Standard – ₦250,000/year: Unlimited products + analytics + priority listing
- Premium – ₦500,000/year: All Standard features + featured placement + ad credits + Featured badge + Annual Certificate of Listing
Payment Terms
- Payments are accepted via Paystack, Flutterwave, or bank transfer.
- Subscriptions are billed annually in advance and are non-refundable once the subscription period has commenced, except where required by Nigerian consumer protection law.
- Subscription renewal reminders will be sent in advance via in-app notification. Non-renewal results in account downgrade, not deletion.
- We reserve the right to adjust subscription pricing with at least 30 days' notice to existing subscribers.
- Failed payments may result in temporary suspension of premium features until the outstanding balance is resolved.
7. Advertising Rules
- All advertisements must be submitted through the Company Dashboard and require admin approval before going live.
- Ad content must be truthful, accurate, and compliant with applicable Nigerian advertising standards and pharmaceutical marketing regulations.
- Ads must not make unsubstantiated medical claims, imply cure of diseases, or be directed at consumers for prescription-only medicines.
- Ads for products without NAFDAC registration will be rejected.
- PharmaShowRoom reserves the right to reject or remove any advertisement without refund where it violates these Terms or applicable law.
- Advertising fees are non-refundable once an ad campaign has commenced.
8. CPD & Training Content
- CPD courses and training materials on the Platform are for professional development purposes only and do not replace formal academic qualifications or professional licensing requirements.
- CPD certificates issued by PharmaShowRoom are evidence of course completion on this platform and may or may not be recognised by individual professional regulatory bodies (PCN, MDCN, NLNC, etc.). Users are responsible for checking recognition status with their respective regulatory body.
- Content accuracy is the responsibility of course authors. PharmaShowRoom does not guarantee the clinical accuracy of third-party submitted content.
- Course content may not be reproduced, distributed, or resold without written permission.
9. Professional Directories
- Professionals (doctors, nurses, pharmacy technicians, laboratory technicians) who create profiles on the Platform represent that their stated credentials, licences, and practice information are accurate and current.
- Profiles are subject to admin review before being made publicly visible.
- PharmaShowRoom does not independently verify professional credentials and is not liable for any misrepresentation by a listed professional.
- Profiles must not be used to solicit patients, sell medications directly to consumers, or engage in any activity that violates Nigerian healthcare regulations.
10. Prohibited Activities
The following are strictly prohibited on PharmaShowRoom:
- Listing, selling, or promoting counterfeit, adulterated, expired, or unregistered pharmaceutical products
- Impersonating a company, professional, regulatory official, or PharmaShowRoom staff
- Creating multiple accounts to circumvent suspension or access restrictions
- Using automated tools (bots, scrapers) to extract data from the Platform without written permission
- Engaging in price-fixing or anti-competitive conduct with other Platform users
- Uploading malicious software, viruses, or content that compromises Platform security
- Posting false reviews, fake enquiries, or misleading ratings
- Using the Platform to contact users outside the Platform for spam or unsolicited marketing
- Any activity that violates Nigerian law, pharmaceutical regulations, or the rights of other users
11. Suspension & Termination
We reserve the right to suspend or permanently terminate any account that:
- Violates these Terms or any applicable law
- Is involved in fraudulent activity or misrepresentation
- Has an outstanding unpaid subscription or payment
- Has received multiple verified complaints from other users
- Poses a risk to the safety, integrity, or reputation of the Platform
Where possible, we will notify you before taking action and give you an opportunity to respond. In cases of serious breach (counterfeit products, fraud), immediate suspension may occur without prior notice. You may appeal a suspension by contacting support@pharmashowroom.com.
12. Limitation of Liability
- PharmaShowRoom is a marketplace facilitator. We are not a pharmaceutical company, distributor, or healthcare provider.
- We do not guarantee the quality, safety, efficacy, or legality of any product listed on the Platform.
- We are not liable for any loss, damage, injury, or financial harm arising from transactions between buyers and sellers facilitated through the Platform.
- Our total liability to any user in any 12-month period shall not exceed the subscription fees paid by that user to PharmaShowRoom in the same period.
- We are not liable for Platform downtime, data loss caused by technical failures, or errors in third-party services (Paystack, Flutterwave, etc.).
13. Intellectual Property
- The PharmaShowRoom name, logo, design, and platform code are our intellectual property and may not be reproduced or used without our written consent.
- Content you upload (company profiles, product information, images) remains your intellectual property. By uploading it, you grant us a non-exclusive licence to display, distribute, and use it for the purpose of operating the Platform.
- You must not upload content that infringes the intellectual property rights of third parties.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Applicable statutes include but are not limited to: the Nigerian Data Protection Regulation (NDPR), the Federal Competition and Consumer Protection Act (FCCPA), the Pharmacists Council of Nigeria Act, and the Food and Drugs Act (as administered by NAFDAC).
15. Dispute Resolution
- Any dispute arising from use of the Platform should first be raised by contacting support@pharmashowroom.com. We aim to resolve complaints within 14 business days.
- If a dispute cannot be resolved informally, both parties agree to attempt mediation before pursuing litigation.
- Disputes that cannot be resolved through mediation shall be subject to the jurisdiction of the courts of Nigeria.
- For escrow-related payment disputes, users should use the Platform's built-in dispute management system before escalating externally.
16. Changes to These Terms
We may update these Terms from time to time. When material changes are made, registered users will be notified via in-app notification and the effective date will be updated at the top of this page. Continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the changes.
